Parana Materials is a new, independent company focused on the development and commercialization of plant-based, high-performance polyesters such as PISA, PISOX and PEIT/PEIF. The Parana Technology portfolio is distinct from Avantium's FDCA and PEF (branded as releaf®) technology, which remains fully within Avantium. The transaction is part of Avantium's strategy to focus resources and investments on its core FDCA and PEF business while enabling other promising technologies in its portfolio to pursue independent growth and commercialization pathways.

Parana Technology enables the production, application and recycling of renewable, high-performance polyesters through simpler and more cost-effective synthesis routes using commercially available monomers such as isosorbide, succinic- and oxalic acid, and bio-MEG and production in existing industrial assets. The technology portfolio includes oxalic acid-based PISOX polyesters, which offer attractive sustainability characteristics, including marine degradability and the potential for a carbon-negative footprint, as well as PISA, PEIT and PEIF polyesters, which combine high mechanical and thermal performance with renewable content for packaging, consumer goods and specialty applications. The technology has attracted interest from leading global consumer brands and materials innovators.

As part of the transaction, Avantium has transferred the assets associated with Parana Technology to Parana Materials, including intellectual property, know-how, projects and a dedicated team. Among the founders of Parana Materials is Gert-Jan Gruter, currently Avantium’s Chief Technology Officer and the inventor of the Parana Technology, who will transfer to the new company following completion of the transaction as Chief Technology Officer of Parana Materials. Parana Materials will be led by Willem-Jan Meijer. Willem-Jan has more than a decade of experience in strategy, licensing, business development and the commercialization of sustainable technologies, including senior leadership positions at Avantium and dab.bio. Avantium will retain a minority shareholding in Parana Materials, allowing Avantium to participate in future value creation while maintaining focus on its strategic priorities.

Parana Materials has been established at Brightlands Chemelot Campus in Geleen, the Netherlands, and starts its next phase with dedicated leadership, funding and infrastructure. The company will assume responsibility for the operation of Avantium's polymerization pilot plant unit under a lease arrangement. This unit will support Parana Materials' development, scale-up and customer application activities and will be used for third party tolling, while allowing Avantium to reduce its overall cost base with minimal operational disruption. Avantium will retain ownership of the unit and continue to have access to its polymerization capabilities through Parana in support of its FDCA and PEF technology.

To support its next phase of development and commercialization, Parana Materials has secured backing from LIOF Participatiefonds, Limburg's regional development agency, as well as from its founders. The company has also been awarded support through the Just Transition Fund (JTF) and the Demonstration Energy and Climate Innovation (DEI+) programmes. Together, these commitments provide a strong foundation for advancing Parana Materials toward commercial applications and further scale-up of its renewable polyester platform.

Gert-Jan Gruter, Chief Technology Officer and founder of Parana Materials, said: "Parana Materials starts with a clear mission: to turn a distinct portfolio of plant-based polyester technologies into practical solutions for customers. Operating as an independent company gives us the focus and agility to develop PISOX, PISA PEIT and PEIF together with partners, using production routes designed to fit existing industrial infrastructure. We look forward to building the company and translating customer interest into concrete applications."

Jeffrey Lutje Spelberg, investment manager of LIOF, added: “Parana Materials combines innovative technology with strong international growth potential. Our investment supports its technical and commercial development while strengthening Limburg’s biobased materials cluster. Its presence at Brightlands Chemelot Campus creates new opportunities for collaboration and innovation, helping build lasting economic value for the region.”

Tom van Aken, Chief Executive Officer of Avantium, said: "The completion of the Parana spin-out is another important step in the execution of our strategy. By creating an independent company with dedicated leadership, funding and development resources, we believe Parana Materials is well positioned to advance its promising polyester technology platform. At the same time, the transaction enables Avantium to sharpen its focus on the commercialization of FDCA and PEF and the execution of our licensing strategy. Through our shareholding in Parana Materials, we retain exposure to the future value creation potential of the technology while allowing the business to pursue its own growth trajectory."

About Parana Materials
Parana Materials B.V. is an innovative materials company focused on the development and commercialization of renewable, high-performance polyesters. (Euronext Amsterdam and Brussels: AVTX), a leading company in renewable and circular polymer materials, today publishes its IAS34 Interim Financial Statements for the six months ended 30 June 2026 and announces the successful contractual close-out of the construction phase of its FDCA Flagship Plant with its EPC partner Worley.

The unaudited IAS 34 Interim Financial Statements for the six months ended 30 June 2026 have been published today and are available on the Company's website (20260930-IAS-34-Interim-Statements-HY-2026.pdf). The Interim Financial Statements are consistent with the financial update published on 19 August 2026 and contain no material changes to the financial information previously disclosed. The Interim Financial Statements have been prepared on a going concern basis.

For the six-month period ended 30 June 2026, Avantium reported revenues of €4.7 million, EBITDA of -€18.8 million and a cash position, including restricted cash, of €23.9 million, underscoring the importance of the Company's financing and liquidity initiatives.

The Company's going concern assessment, as set out in the Interim Financial Statements for the six months ended 30 June 2026, is principally dependent on a number of important assumptions, including (1) the successful completion of the start-up phase and initiation of commercial operations at the FDCA Flagship Plant in the second half of 2026; (2) securing additional funding through the Company’s financing package; (3) compliance with the conditions and undertakings under the existing Debt Financing Facilities; (4) achievement of FDCA Flagship Plant product sales and milestone payments from license agreements in the second half of 2026 and throughout 2027; (5) the satisfactory conclusion of the ongoing discussions with Worley concerning the close-out of the construction phase of the FDCA Flagship Plant; and (6) the successful execution of strategic options for non-core technology assets, the performance and strategic future of Avantium R&D Solutions and related cost management. Accordingly, the Interim Financial Statements include a material uncertainty related to going concern.

Since 30 June 2026, Avantium has made progress in addressing several of these assumptions. The Company has successfully produced the first batch of FDCA at the FDCA Flagship Plant, completed the contractual close-out with Worley, advanced preparations for its financing package, and continued the execution of its portfolio realignment and cost-management measures. Preparations for commercial deliveries of product, currently anticipated to commence towards the end of 2026, are ongoing.

FDCA Flagship Plant progresses toward commercial operations
Earlier this week, Avantium announced the successful production of FDCA at its FDCA Flagship Plant in Delfzijl. Following the commissioning of all major process units and the successful production of the first FDCA batch, Avantium is focused on producing additional FDCA, completing qualification activities, and preparations for the first commercial deliveries under existing offtake agreements, expected toward the end of 2026.

The successful production of FDCA in the Flagship Plant represents an important step in the commercial validation of Avantium's proprietary YXY® Technology and supports the Company's licensing strategy for future FDCA and PEF production facilities. Avantium has currently secured 23 offtake agreements for material to be produced in the FDCA Flagship Plant, and 17 capacity reservation agreements representing more than 150 kilotonnes of potential annual production capacity from future licensed facilities.

Financing package continues to progress
Avantium is making good progress with its comprehensive financing package, consisting of an intended equity raise of at least €55 million and the proposed €20 million Nij Begun financing facility, to support the start-up and ramp-up of the FDCA Flagship Plant, ongoing operations and the execution of its commercialization and licensing strategy. Discussions with shareholders, prospective investors, financial institutions, and other stakeholders have advanced further, including on the structure, implementation and documentation of the financing package. Discussions with the NOM (the Investment and Development Agency for the Northern Netherlands), acting on behalf of the Ministry of Economic Affairs and Climate and the Province of Groningen, regarding the proposed Nij Begun facility have also progressed further.

Subject to shareholder approval of the resolutions proposed at today's Extraordinary General Meeting and other customary conditions and approvals, the Company remains on track with the preparations for the planned equity raise. The exact timing of the launch of the transaction depends, amongst other things, on the decision-making procedures at some of Avantium’s key stakeholders in relation to their contribution, however, the Company currently anticipates launching the transaction in Q4 2026.

Worley close-out completed, reducing project and contractual uncertainties
On 29 September 2026, Avantium and Worley entered into a close-out agreement aimed at achieving a comprehensive resolution of the principal outstanding matters between the parties in relation to the FDCA Flagship Plant. The agreement addresses the principal outstanding commercial and contractual matters between the companies, including outstanding invoices and claims, responsibilities associated with remediation activities, titanium welding-related matters, and the contractual close-out of the EPC relationship. The agreement also addresses a framework for future cooperation between the parties.

Strategic focus sharpened through portfolio realignment and cost discipline
The Company continues to sharpen its strategic focus on the commercialization, scale-up and licensing of FDCA and PEF through active portfolio optimization and disciplined cost management. Following the divestment of Ray Technology® to UPM and the subsequent spin-out of Volta Technology into Carbeau, the Company continues to execute its strategy for non-core technology assets, including the planned spin-out of Parana Technology into Parana Materials B.V. Combined with the earlier decision to discontinue further investment in Dawn Technology®, these actions are expected to reduce future funding requirements and non-core cost exposure, and reinforce management focus on its core FDCA and PEF activities.

The Company continues to evaluate strategic alternatives for Avantium R&D Solutions, including potential partnerships, restructuring initiatives and other value-enhancing options. In parallel, management is implementing cost reduction measures to improve the business' cost profile and reduce future funding requirements.

In parallel, Avantium is implementing restructuring and cost-saving measures designed to strengthen its financial position and extend its working capital runway. Over the past twelve months, the Company has reduced its workforce by approximately 15% through portfolio optimization initiatives, organizational restructuring and spin-out activities. Avantium continues to review discretionary expenditure, external spending and operating costs across the organization, while evaluating additional restructuring and cost-reduction measures to preserve liquidity, reduce its cost base and extend the Company's funding runway.

About Avantium
Avantium is a pioneering commercial-stage company focused on renewable & circular polymer materials. What started within Avantium as a pioneering technology platform has grown into Carbeau, a company with a clear mission and a bright future ahead. I would like to sincerely thank Avantium for its support and belief in the technology over the years, as well as our investors for their confidence in our vision. With €35.2 million in funding and the backing of an outstanding consortium of strategic and financial partners, we are in a strong position to accelerate commercialization and scale-up. We believe Carbeau can play an important role in transforming CO₂ from a challenge into an opportunity, and we now have the team, technology and partners to make that ambition a reality.”

Tom van Aken, CEO of Avantium, added: “We are tremendously proud to see Volta Technology evolve into Carbeau. This spin-out demonstrates Avantium’s ability to develop breakthrough technologies and bring them to a stage where they can attract substantial external investment and pursue their own growth trajectory. The €35.2 million financing and the strong consortium supporting Carbeau are a powerful endorsement of both the technology and the team behind it. We are pleased to remain closely involved as a significant shareholder, retaining a 32.7% stake in Carbeau. We look forward to supporting the company as it enters this exciting next phase and to seeing the impact its technology can have on advancing the circular carbon economy.”

About Carbeau

Carbeau is a technology company focused on the electrochemical conversion of CO₂ into high‑value, renewable products. The LCA shows that releaf® can reduce greenhouse gas emissions by up to 88% in 500 mL beverage bottle applications, compared to conventional PET under representative European conditions. At resin level, emissions can be reduced by up to 71%[1], with further reductions expected over time as feedstock, processes and energy inputs improve. The results demonstrate that a significant reduction in the environmental footprint of plastics can be achieved while maintaining performance and compatibility with existing recycling systems.

The LCA was conducted with nova‑Institut and Tereos, using industrial data representative of future industrial production. Results have been peer‑reviewed and follow internationally recognised ISO standards. The work was carried out within the European Commission‑funded PEFerence project[2]. The findings have been published in the peer‑reviewed scientific study “Life Cycle Assessment of an Emerging, Innovative Biopolymer: Poly(ethylene furanoate)”, and provide a comprehensive assessment of releaf® across the full life cycle, from biomass production to end‑of‑life, including recycling. The analysis includes a cradle-to-gate and a cradle‑to‑grave approach, including feedstock cultivation, conversion into chemical intermediates, polymer production, packaging applications, and end‑of‑life treatment such as recycling and energy recovery.

The study shows that the reduction in greenhouse gas emissions is primarily driven by the replacement of fossil carbon with renewable carbon derived from plant‑based feedstocks. As part of the natural carbon cycle, carbon dioxide absorbed during plant growth offsets emissions later in the life cycle. In addition, releaf®’s improved material properties enable lighter packaging designs, further reducing environmental impact across production and transport. The highest reductions are achieved in monolayer PEF bottles, enabled by lower material use and a fundamentally different carbon balance. In addition, multilayer PEF/PET solutions outperform conventional PET/PA bottles, offering lower emissions and improved recyclability.

The analysis also highlights that renewable carbon and recycling are complementary approaches. Recycling reduces demand for virgin material, while renewable carbon reduces the impact of that material. Combined, these approaches enable deeper reductions in the overall carbon footprint of plastics. Ed de Jong, VP Development at Avantium, said: “The updated LCA provides a robust, science‑based assessment of the environmental performance of releaf® and supports its potential contribution to reducing emissions in plastics, at a time when dependence on fossil feedstocks is increasingly under pressure.”

About Avantium
Avantium is a pioneering commercial-stage company focused on renewable & circular polymer materials. The transaction includes the patent portfolio and invention disclosures developed by Avantium up to the end of 2023, when further development was put on hold by Avantium. The Ray Technology® intellectual property relates to the production of the bio‑based glycols mono‑ethylene glycol (MEG) and mono‑propylene glycol (MPG), which are used in a wide range of applications such as packaging, textiles and industrial fluids. As bio‑based MEG is an essential input for Avantium’s technology to produce PEF, a plant‑based and circular high‑performance polymer, UPM is a natural and trusted owner of the Ray Technology IP.

The transaction reflects Avantium’s strategic focus on the commercialization and licensing of its FDCA and PEF technology platform. While Ray Technology has demonstrated strong potential, further development towards commercial scale would have required substantial additional investments. In light of its strategic priorities and capital allocation discipline, Avantium concluded that divesting the intellectual property was the most appropriate step. Avantium no longer has employees dedicated to Ray Technology®, and the transaction therefore has no employment consequences.

The total consideration for the transaction amounts to €2.7 million in cash. €2.0 million of the proceeds will be used to partially repay Avantium’s Debt Financing Facilities with the consortium of lenders (ABN AMRO, ASN, ING, Rabobank and InvestNL), with the remaining €0.7 million allocated to the dismantling of the idle Ray pilot plant and other close-out costs.

Tom van Aken, Chief Executive Officer of Avantium, said: “This agreement supports our strategic focus and disciplined capital allocation. We are pleased that the Ray Technology intellectual property will continue with a strong European partner and see potential for future collaboration opportunities with UPM.”

About Avantium
Avantium is a pioneering commercial-stage company focused on renewable & circular polymer materials. Avantium develops and commercializes innovative technologies for the production of materials based on sustainable carbon feedstocks, i.e. carbon from biomass or carbon from the air (CO2). The most advanced technology is the YXY® Technology that catalytically converts plant-based sugars into FDCA (furandicarboxylic acid), the key building block for the sustainable plastic PEF (polyethylene furanoate). PEF is known under the brand name releaf®, an EU registered trademark of Avantium. Avantium has successfully demonstrated the YXY® Technology at its pilot plant in Geleen, the Netherlands, and is in the process of starting the world's first commercial plant for FDCA in Delfzijl, the Netherlands. Avantium works in partnership with like-minded companies around the globe to develop revolutionary renewable chemistry solutions from invention to commercial scale.

Avantium’s shares are listed on Euronext Amsterdam and Euronext Brussels (symbol: AVTX). Avantium is incorporated in the Euronext Amsterdam SmallCap Index (AScX). Its offices and headquarters are in Amsterdam, the Netherlands.

For more information:
Caroline van Reedt Dortland, Director Communications
+31-20-5860110 / +31-613400179
mediarelations@avantium.com

Aarne Luten, Director Investor Relations
+31-625687714
ir@avantium.com

Press releases,2026

The exhibition brings together material innovation and narrative design in a mini-collection made from releaf®, featuring a cabinet with PEF decoration, a yarn‑covered bench, a flake‑molded side table, and a family of stackable bowls.

At the heart of the collaboration is releaf®, Avantium’s plant-based and circular polymer made from renewable feedstock. Releaf® offers a significantly lower carbon footprint than traditional plastics while delivering strong mechanical and barrier performance suited for packaging, films, fibers, textiles, and interior applications. Its versatility allows designers and brands to explore new material expressions while reducing dependence on fossil‑based plastics.

“Releaf® gives designers an extraordinary level of versatility,” says Jean Lai, Manager Marketing & Branding at Avantium. “Because it is plant‑based, recyclable, and adaptable across formats - from films and fibres to solid components- it allows creators to rethink materials without compromising performance. We are honored to work with Nienke Hoogvliet. Her creative approach allows us to demonstrate just how beautiful and versatile releaf® can be, proving that sustainable materials are every bit as functional as they are visually compelling. This collaboration shows how one polymer can move seamlessly between packaging, textiles and interior objects, opening a world of possibilities for circular design.”

Nienke Hoogvliet adds: “Exploring releaf® as a design material opened up an inspiring process of experimentation, discovery, and translation. While developing new textures and forms was exciting, it was equally important to transform these technical samples into tactile, emotionally engaging objects. Technical innovations can sometimes feel distant or abstract; by revealing their beauty and physicality, these objects become storytellers of a meaningful and urgent narrative. We need to rethink how we produce and consume, and releaf® offers a promising response to one of the most pressing material challenges of our time: plastic. We hope this mini‑collection inspires others to join us in shaping a fossil‑free future.”

Press Day Milan Design Week

From Plants to Plastic will be on view from April 21–26 2026 at Palazzo Giureconsulti. We made significant progress in the phased start-up of our FDCA Flagship Plant in Delfzijl, an essential step toward bringing our plant-based polymer PEF, marketed as releaf®, to market. At the same time, construction-related issues and the resulting delays required significant financial discipline, substantial additional financing, and some tough organizational decisions.

We strengthened our financial position through essential short-term financings, amendment of our debt financing conditions and a successful equity raise of €85 million, reflecting strong confidence from both new and longstanding investors, including the Dutch State. By year-end, the first half of the Flagship Plant had been commissioned and was operational, giving us a clear line of sight to completing start-up in 2026 and moving into commercial-scale production.

We also enhanced the broader foundations of our PEF strategy. We expanded our commercial pipeline, advanced licensing discussions, and secured important regulatory and recycling approvals in Europe and Japan. Avantium now expects to complete start-up by mid-2026 and to commence sales of product under its existing offtake agreements in the second half of 2026. This updated timeline is a result of construction-related piping issues involving certain titanium welds uncovered during commissioning, which require additional work to ensure a safe and reliable start-up. Avantium has made strong progress with the weld repair activities, providing a clear basis for the remaining start-up steps.

Commissioning and start-up at the FDCA Flagship Plant is progressing, with utilities and the sugar dehydration unit already operational and work now focused on starting up the oxidation and purification units. During the commissioning activities of those units, construction-related quality issues were identified in certain titanium welds in the piping, representing a safety risk for start-up and operations. Additional inspections over the past period provided a clearer picture of the extent of the issue, showing that more remediation work was required than initially expected and that the previous timeline was therefore no longer achievable.

The titanium weld remediation will result in an additional €7 million in capital expenditure. Avantium is reviewing its contractual and legal options to potentially secure compensation for these unexpected cost increases and delays.

Hero de Jager, interim Chief Operating Officer of Avantium, comments: “We are taking all necessary measures to ensure a safe, reliable and high-quality start-up of the FDCA Flagship Plant. With the weld repair program underway and commissioning progressing well across all parts of the plant, we have a clear plan to complete start-up by mid-2026. This will enable us to begin commercial product sales in the second half of 2026.”

About Avantium
Avantium is a pioneering commercial-stage company focused on renewable & circular polymer materials. This international recognition and governmental support underscore the growing global interest in sustainable wine packaging solutions.

“Packamama is delighted to partner with Avantium to bring the plant-based polymer releaf® into our wine bottle solutions,” said Santiago Navarro, CEO & Founder at Packamama. “We have been searching for a material that meets our performance standards and sustainability requirements, and is made from plants. We believe that releaf® offers a unique combination of high performance, environmental responsibility, and appealing consumer messaging.”

Bineke Posthumus, Commercial Director at Avantium, commented: “Packamama’s innovative approach to wine packaging and commitment to sustainability make them an ideal partner for Avantium. Their decision to test and adopt releaf® is a strong endorsement of our material’s potential to transform to iconic, premium packaging applications. We look forward to working closely with Packamama to drive meaningful progress in sustainable packaging.”

About Packamama

Packamama is a climate tech company advancing wine packaging for a low-carbon future. Our multi award-winning, eco-flat bottles – made from our unique material mix of recycled PET and performance-enhancing additives – save space, weight and energy, slashing emissions by more than half compared to traditional glass bottles.
